The sale of Hall & Oates remains on pause following a judge’s “ultimate partnership betrayal” rules.

The judge will rule Keep the planned trade sale on hold while bandmates Darryl Hall and John Oates work to reach an agreement.

A temporary injunction in Hall’s lawsuit prevents Oats from selling his stake in Whole Oats Enterprises until the matter is heard by an arbitrator, or on February 17.

While Hall and Oats did not appear in court Thursday, attorneys argued on their behalf regarding the guitarist’s decision to sell half of his stake in Whole Oats Enterprises to Primary Wave Music.

The sale has been temporarily halted while an arbitrator settles the dispute between members of the rock band Hall & Oates.

“You can’t sell half of the partnership to a third party without the other party’s consent, and that’s self-evidently true,” Hall’s attorney, Christine Lepera, said in court.

Tim Warnock, Oates’ attorney, said Hall’s claims that Oates went behind his back were untrue.

“Mr. Oates continued his work exactly as he was permitted to proceed,” Warnock said, pointing to the judge their joint employment agreement, which remains under seal in the case. “Mr. Hall could have done the same thing himself.”

Hall accused Oates of “betrayal of absolute partnership” in court documents filed Wednesday, saying his bandmate tried to sell his stake in a joint business venture without Hall’s permission. The joint venture includes the Hall & Oates trademarks, personal name and likeness rights, registered royalty income, website and social media assets, according to Hall’s court filing.

After attempting to initiate arbitration on November 9, Hall File a separate lawsuit He requested a temporary restraining order to prevent Oats from selling his stake in Whole Oats Enterprises. The business venture is managed by both musicians.

The temporary restraining order, which was issued on November 17, prohibits Oates from selling his stake to Primary Wave Music before an arbitrator weighs in or until the temporary restraining order expires, according to court documents obtained by FOX Business.

Lawyers for the musicians said in court on Thursday that an arbitrator had been chosen to settle the dispute.

The legal battle began on November 16 when Hall filed a lawsuit against Oates in Nashville. The lawsuit is sealed by court order but is listed under the contract/debt category. The temporary restraining order was granted on November 24.

The two men formed a pop rock band Hall and Oates In the 1970s, although they never officially broke up, both Hall and Oates continued to perform solo for years.

Hall & Oates released their debut album “Whole Oats” in 1972. Since their debut, they have released 18 studio albums and recorded six singles. Hall & Oates’ best songs include “Rich Girl,” “Maneater,” and “You Make My Dreams.”

The two toured together in October 2022, according to Variety.

Hall explained that there was a disconnect between him and Oates in a 2022 interview.

“You think John Oates is my partner? He’s my business partner,” Hall said during an appearance on “You Think John Oates is my partner?” Bill Maher Random Club Podcast. “He’s not my creative partner.”

“John and I are brothers, but we’re not creative brothers. We’re business partners. We made records called ‘Hall & Oates’ together, but we’ve always been very separate, and that’s something that’s really important to me.”

Hall used the example of the band’s song “Kiss on My List” to demonstrate how disconnected the two were. While Oates is listed as a co-producer on the track, he is not listed as a songwriter.

“I did it all [harmonies]”That’s it,” Hall said.
